This document relates to Plushvie Retail pvt Ltd. This company is incorporated on eighth of August 2018 in accordance to companies act 2013 and fulfills all mandatory guidelines prescribed under companies amendment rules 2018.The registered office of Plushvie

Retail Pvt Ltd is Bl 37/H Flat, Xavier S Co. Op. H. Soc.Ltd, B/H Ankur  BusStand,Naranpura, Ahmedabad, Gujarat-380013 India.

 Further this document is an electronic record in terms of the Information Technology Act, 2000, and rules there under, as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signature. This document is in consistence with all cyber laws prevailing in India.

 This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries guidelines) Rules, 2011, that require publishing the rules and regulations, privacy policy and user agreement for access or usage of https://Plushvie.in & any other website URL of plushvie.

 Please note that “Plushvie.in” will be hereinafter referred as “Plushvie.”

1.Introduction

Plushvie currently showcases a wide collection of 50+ brands with over 10,000+ fine jewelry options in diamond, gold, and silver. We also provide complete customization option to our valued customers in terms of gold purity, gold color, diamond quality and size of the product.

1.3 Who can register as seller on Plushvie?

1.3.1.  Every Precious jewellery Brand having authentic jewellery collection. Real jewellery includes Gold, silver,Platinum,diamond & other gemstones jewellery.

1.3.2.  Every  jewellery Brand having unique variety and wide range of design collection.

1.3.3.  Seller must be holding all mandatory licenses & certificates related to their products like Hallmark for confirming the purity of jewelry & such other necessary certifications provided by approved laboratories.

1.3.4.  Seller must have GST registration and appropriate returns filed in 3 previous financial years.

1.3.5.  Seller must be having a good reputation in the market and must not be a defaulter.

2.How to register as seller? 

Registration with Plushvie is easy, you can go live in just 4 steps.

3.  Seller’s code of conduct

3.1.   Adhere to all applicable laws and abide by all policies mentioned by Plushvie.

3.2.   Never misrepresent yourself.

3.3.   Always act in a manner that ensures a trustworthy experience for Plushvie’s customers.

3.4.   Never list products that may cause harm to Plushvie’s customers.

3.5.   Never engage in any misleading, inappropriate or offensive behavior. This applies to all your activities, including but not limited to:

○ Information provided on your account.

○ Information provided in listings, content or images.

○ Communication between you and Plushvie or you and our customers.

3.6. Act fairly at all times. Unfair behavior includes but is not limited to the following:

○ Behavior that could be deemed as manipulation or "gaming" of any part of the buying or selling experience.

○ Actions that could be perceived as manipulating customer reviews, including by directly or indirectly contributing false, misleading or inauthentic content.

○ Activities that could be perceived as attempting to manipulate Plushvie’s search results or sales rankings. ○ Actions that intentionally damage another seller, their listings or their ratings.

3.7 It is mandatory for seller to fulfill the order that is placed by our customer.

5.  Listing Regulations

5.1. Your Content Is Your Responsibility: You are solely responsible for any messages, reviews, text, photos, videos, graphics, code, or other information, content or materials that you post, submit, publish, display or link to through the Services or send to other Plushvie website users.

5.2. Plushvie may Choose to Monitor User Content: Plushvie does not approve, control, or endorse your or anyone else's User Content and has no obligation to do so. However, we reserve the right (but assume no obligation) to remove or modify User Content for any reason, at our sole discretion, including User Content that we believe violates our Terms of Use.

5.3. Be Truthful: You agree to provide accurate, complete, current, and truthful information when you add or edit facts about your shop/establishment/products or otherwise any other content .

5.4. Do Not Post Illegal or Harmful Content: You agree not to post, submit, or link to any User Content or material that infringes, misappropriates, or violates the rights of any third party (including intellectual property rights) or that is in violation of any federal, state, or local law, rule, or regulation. You also agree not to post, submit or link to any User Content that is defamatory, obscene, pornographic, indecent, harassing, threatening, abusive, inflammatory, or fraudulent, purposely false or misleading or otherwise harmful.

 Incase any such content is posted by user, we are not liable for such post.

 5.5.  Do Not Violate Others' Rights: You agree not to post copyrighted material without permission from the owner of the copyright. This includes, for example, photographs or other content you upload via the

Services. You also agree not to disclose confidential or sensitive information. This includes but is not limited to information about neighbors or other information that would potentially be viewed as an invasion of privacy. Incase such information is posted by user they will be exclusively liable for consequences of such an act.

5.6. You Grant Plushvie a License to Use Your Content: When you provide seller Content via our Services, you grant Plushvie a royalty-free, perpetual, irrevocable, and fully sublicensable license to publish, reproduce, distribute, display, adapt, modify and otherwise use your User Content in connection with our Services. We will not pay you or otherwise compensate you for the content you provide to us.

5.7. Your Content May Be Made Public: You understand and agree that any User Content that you post or submit to Plushvie may be redistributed through the Internet and other media channels, and may be viewed by the general public.

We reserve the right in our sole discretion to edit or remove information or materials provided by you.

5.8. Images/ Videos related guidelines : 

●      It is mandatory for every seller to post minimum four images of each product along with proper description. However it is recommended to post six images, as it will

        give  more clarity to customers about the product.

●      Images or videos that are posted must be true, fair and must give buyer a clear knowledge about the product.

●      Product image should display full product. Images that display partial products are not valid. 

●      Photograph must be taken in 100% white background. Other backgrounds /colors shall not be approved.

●      Resolution of the photographs MUST be at least 1000 pixels x 1000 pixels [Square]

●      None of the area of the photograph should be blurred or distorted.

●      Watermark / Branding / Logo / Price Tag etc are NOT valid in the photograph.

●      Object should be in the center of the photograph and it should cover at least 70% area of the entire photograph. 

●      Photograph should be taken in full bright light

●      Displaying product from 4 different angles and a photograph of Hallmark / Certification are mandatory. 

●      Photograph depicting products’ dimensions are highly preferable. 

●      Seller should be careful before posting their products and must ensure that the image does not violate any of the guidelines provided by Plushvie or is against any law prevailing in India.    

5.9.General  Rules 

●  Information Provided by Jewellery Sellers: If you are a jewellery professional, you agree that you will not claim or submit listings that do not belong to you. All the information provided by you must be correct and appropriate, no misleading information to be submitted. When you submit or claim a listing, you hereby agree to abide by the User Terms and Conditions signed by you.

●  Plushvie User Content Provided to Jewellery Professionals: If you are a jewellery professional, you agree that you will not use any information about Plushvie users that is transferred to you during your use of Plushvie’s Website or Services (e.g., contact information sent to you when a user contacts you through your listing page) for any reason except to provide those users with jewellery services. Such information is considered as confidential information and using such information for personal gain is strictly prohibited and thus such act will create a right in favour of plushvie to recover such profits or any accidental expenses from the seller. 

You further agree never to use such information for any illegal or harmful purpose.

5.10. It is strictly prohibited to list following products- 

● Gold / silver or any precious metal products that are not stamped in compliance with the  applicable laws

● Products that do not comply with the FTC’s Guides for the Jewelry, Precious Metals, and Pewter Industries.

● Irradiated gemstones, unless sale has been authorized by the Nuclear Regulatory Commission.

● Diamonds that do not comply with the Certifications.

● Glass-filled rubies and gemstones.

● Listings for jewelry products, including items like glasses frames, pens, and flatware, must follow the FTC

Guides for the Jewelry, Precious Metals, and Pewter Industries. These regulate the use of terms such as "pearl", "platinum", "non corrosive", and "flawless". We may check the quality of fine jewelry sold of Plushvie. Fine jewelry includes products containing gold, silver, platinum, or palladium, or diamonds, pearls or gemstones. 

●    You must ensure that your product detail pages for fine jewelry include accurate and complete details about the products' quality. Gold and platinum content must match the quality described on the detail page and the mark stamped on the product. Simulated gemstones must be labeled as such.

●    You must disclose all treatments for treated diamonds or gemstones. Detail pages for fine jewelry must comply with the Guides for the Jewelry, Precious Metals, and Pewter Industries, and  Plushvie’s Jewelry Quality Assurance Standards. If we find that you have given inaccurate or incomplete information for fine jewelry products, we may suspend your listings, and suspend or remove your selling privileges.

6. Legal Compliances :

6.1. Customers trust that they can always buy with confidence on Plushvie. Products offered for sale on Pushvie are always certified & hence you must comply with all laws and regulations and with plushvie's policies. The sale of illegal, unsafe, or other restricted products listed on these pages,is strictly prohibited.

6.2. If you supply goods on Plushvie, you should carefully review the Restricted Products before listing a product.. We encourage you to consult with our support team if you have questions about the laws and regulations concerning your products. In addition, any links provided are for informational purposes only, and does not warrant the accuracy of any information provided in these links.

6.3. If you supply a product in violation of the law or any of plushvie’s policies,we will take corrective actions, as appropriate, including but not limited to immediately suspending or terminating selling privileges. The sale of illegal or unsafe products can also lead to legal action, including civil and criminal penalties.

6.4. We are constantly innovating on behalf of our customers and working with regulators, third party experts, vendors, and sellers to improve the ways we detect and prevent illegal and unsafe products from reaching our marketplace. We encourage you to report listings that violate Plushvie's policies or applicable law by contacting us. ‘We will investigate each report thoroughly and take appropriate action.

6.5. Seller understands that he is a ”seller” as defined in section 2(13) of sales of goods act 1930 and hence it is his duty to take reasonable actions to fulfill the order.  

6.6.  Sellers must comply with all the applicable provisions & laws including but not  Limited to following-

Indian Contracts Act 1872

●    Intellectual property laws

1.  Copyright Act 1957

2.  Trademark Act 1999

3.  Merchandise Marks Act 1958;

4.  Patents Act, 1970

5.  Sales of goods act 1930

6.  Designs under Designs Act, 1911.

●     Shops and establishment Act 1949

●     Information Technology Act 2000

●     Federal Trade Commission (FTC) regulations

●     Goods and Service tax Act 2017 including CGST ACT & SGST ACT

●     All other trade laws/ Bye Laws / Business Law as may be applicable and  Amended from time to time. 

7. Prohibited Content

Sellers are expected to conduct proper research to ensure that the items posted to our website are in compliance with all applicable laws. If we determine that the content of a product detail page or listing is prohibited, potentially illegal, or inappropriate, we may remove or alter it without prior notice. We reserve all the right to make judgments about whether or not the content is appropriate.

Counterfeit merchandise: Products offered for sale must be authentic. Any product that has been illegally replicated, reproduced or manufactured is prohibited.

●  Items that are not intended for distribution within India: Products that are specifically manufactured for, and identified as "not for distribution within India" cannot be sold on Plushvie’s website.

● Illegal and potentially illegal products: illegal products are strictly prohibited and cannot be uploaded by seller. Such content may attract penalties on the seller.

● Offensive material: we have the right to determine the appropriateness of listings posted to our website and if the material is found to be offensive we may remove it or may initiate any action as we deem fit.

● Nudity: In general, images that portray nudity in a gratuitous or graphic manner are prohibited.

● Items that infringe upon an individual's privacy. We hold the personal privacy in the highest regard. Therefore, items that infringe upon, or have potential to infringe upon, an individual's privacy are prohibited.

● Unauthorized and unlicensed merchandise: All items displayed on our Site must be commercially produced and authorized or licensed for sale as a retail product.

● Rights of Publicity: Celebrity images and/or the use of celebrity names cannot be used for commercial purposes without permission of a celebrity or their management. This includes product endorsements and use of a celebrity's likeness on merchandise such as posters,jewellery models, images collections in digital format, and so on.

● Misrepresentation: any fake information cannot be posted on Plushvies website. Any misleading or fake information will make seller liable for penalties. Hence information mentioned on the site must be true and fair in nature.

 8. Shipping Policies

I.  We will notify you about the order as soon as possible after the order is placed by our customers.

II.  Sellers must ensure appropriate airworthy packaging of the product to prevent loss or damage caused to the product while transportation. 

III. Seller agrees to provide relevant documentation & shipping labels to the representative of logistic provider when the product pick up is arranged by Plushvie.

IV. Note that all the shipping charges including but not limited to transportation cost, insurance cost, Tax payment, and any other relevant charges must be borne by the seller.

V. SLA POLICY- It is seller’s responsibility to define the lead time for order fulfillment as part of their SLA with Plushvi.. .A service-level agreement (SLA) is a commitment between a service provider and a client. It is generally the time period taken by seller to fulfill the order.  

VI. NOTE THAT SELLER MUST FULFILL THE ORDER WITHIN THE TIME FRAME MENTIONED BY THEM ON OUR WEBSITE (i.e as per their defined SLA policy), in case of non-fulfillment, the seller account will be suspended for SIX MONTHS after three failures  or as we may deem fit. 

VII. Incase of any damages caused to us due to delay in shipping by seller, you may be charged with penalty or such other expenses.

VIII. Seller should provide GST compliant  invoice along with packing list at the time of shipping.

9. Return Policies

9.1   In the event of return from the customer, the seller agrees to accept the return as it is.

9.2   Product will be returned to seller within 7 days from the date of collection of such return order, generated by consumer.

9.3   In case of return, seller is legally bound to take back the product at same price on which it was sold, irrespective of the market price of the product.

9.4   We are in no manner liable to pay any charges or loss caused due to such return.

9.5   Further we may charge seller for shipping expenses in case of return, however if the product is returned due to violation of our policies by seller than in such case seller may be charged with penalty or suspension of seller account as we may deem fit.  

9.6   Seller will not be paid with any amount in case of cancellation or return of the product. Hence in such transactions no right will be created in favour of seller to claim any kind of payment. 

10. Terms related to JewelTry

You may entrust information that you or your organization (“you”) control, to Plushvie in connection with use of our services. This includes but is not limited to information regarding your products, customers and your employees or data that you hold and use on behalf of another person for a specific purpose or service. The data may either be stored on our servers when you use our services, or transferred or shared to us as part of our services.

NOTE: We collect from you detailed information relating to your products for the purpose of cataloguing. We reserve the right to collect, edit, upload or reject such information for purpose of listing your products on JewelTry.

We recognize that you own your data. We provide you complete control of your data by providing you the ability to (i) access your data, (ii) share your data, and (iii) request export or deletion of your data.

We hold the data in your account as long as your subscription period is ongoing. Once you terminate your JewelTry subscription, your data will eventually get deleted from active database during the next clean-up.

11.  Payment and Pricing policies

I.  Seller must price the products listed on our website at fair prices and must update the price from time to time.

II.  In Case of failure to update the price of the product, seller will be liable to accept the order on price that is listed on our website irrespective of the market price.

III. Please note that we are not liable for any losses caused to seller due to increase or decrease in the market price of the product. It is sole responsibility of seller to maintain the prices of the products the have listed on Plushvie.

IV. Payment will be transferred to seller’s account for every product sold after 10 days from date of delivery of the product to our customer.Please note that the payment settlement will be done after deducting the Marketing fees, shipping charges or any other charges as may be applicable.  You may check the dashboard to find out exact payout amount.

12.  Privacy Policy & Non-disclosure agreement

Seller agrees to prevent they contacting customer directly and will not enter into any malafide transactions. Incase any such communication or transactions or any malpractices are detected by us, we will suspend seller’s account and may initiate any legal proceedings against the seller. Also in such case, seller will be liable to pay us penalty for infringement of our terms and conditions that is deemed to have been agreed by seller on confirming registration with us.

Seller also agrees to keep the Confidential Information secret and confidential and not to publish, disclose or divulge to any other party, and they also agree not to use any of the Confidential Information for their own benefit or to the detriment of any person whether or not such Confidential Information was discovered or developed by the seller. 

Seller also agrees not to develop or promote any competitive acts willfully with an intent to harm Plushvie’s business. If such activity is detected by us, seller may be liable to fine.

13.  Modification of Plushvie.in Services

Plushvie reserves the right to modify or discontinue (completely or in part) our Website, Services, or any content appearing therein on Plushvie website. We  will not be liable to you or any third party if we exercise this right, nor will be liable for any monetory loss or any other loss arising out of such modifications.

13.1. Modification of These Terms

We reserve the right to change or modify these Terms of Use, or any policy or pricing of the products or guideline of the Website or Services, at any time and in our sole discretion. Any changes or modifications will be effective immediately upon posting of the revisions to the Website or Services. You waive any right you may have to receive specific notice of such changes or modifications. Your continued use of the Website or Services following the posting of changes or modifications will confirm your acceptance of such changes or modifications. Please review these terms and conditions periodically and check the version date for changes.

14.  Dispute Resolution

Notwithstanding any agreement with Plushvie that provides for an alternative dispute resolution mechanism, you agree that any dispute arising between you and Plushvie.in which cannot be resolved amicably, shall be conclusively resolved by a sole arbitrator. The Arbitration shall be conducted as per the Arbitration rules laid down under the Arbitration and Conciliation Act, 1996, and any modification/amendment effected thereafter from time to time. The arbitration shall be conducted in the English language and the award passed by the Arbitrator shall be final and binding on both parties. The cost of arbitration shall be borne by you, unless awarded otherwise. Further when matter cannot be resolved by arbitration in such case, matter may be carry forwarded to court as mentioned in next clause.

14.1.  Choice of Law

These Terms of Use are governed by the laws of India. The courts in Ahmedabad, Gujarat,India shall have exclusive jurisdiction over any claim or matter arising out of these Terms of Use irrespective of the territory and jurisdiction of your access to Plushvie.

15.  No Waiver

Plushvie's website failure to exercise or enforce any right or provision of the Terms of Use will not be deemed to be a waiver of such right or provision.

16.  No Third-Party Beneficiaries or Rights

These Terms of Use do not create any private right of action on the part of any third party or any reasonable expectation that the Website or Services will not contain any content that is prohibited by these Terms of Use.

17. Entire Agreement and Severability

These Terms of Use, the Privacy Policy and any amendments and additional agreements you might enter into with Plushvie in connection with our Website or Services, shall constitute the entire agreement between you and Plushvie concerning the Website or Services, and shall supersede any prior terms you had with Plushvie regarding the Website or Services.

If any provision of these Terms of Use is deemed invalid, then that provision will be limited or eliminated to the minimum extent necessary and the other provisions of these Terms of Use remain in full force and effect.

18.  Assignment

You may not assign or otherwise transfer your rights or obligations under these Terms of Use. Plushvie may assign our rights and duties under these Terms without any such assignment being considered a change to the Term of Use and without any notice to you.

19.  Notices

Any notices or other communications that you wish to send to Plushvie may be addressed to the registered office mentioned above. Also any communication made to you on behalf of plushvie will be considered appropriate only if made from legitimate source. We are not responsible for consequences arised due to any communication made to you on behalf of plushvie from any unauthorized source.
